中国2023年新公司法带来了很多变化，首先需要介绍的就是公司注册资本出资期限的变化。
对于2024年7月1日前设立的企业，政府给了3年的缓冲期，也就是在2027年7月1日前，将出资期限调整为5年即可，也就是2032年7月1日之前缴足出资款。但2024年7月1日之后注册的企业，则需要在注册之日起5年内缴足出资。

在过去，很多企业在注册时虽然承诺了出资额，但实际资金到位的时间可以很长，可以是10年，20年，甚至100年。然而，随着2023年《公司法》的修订，这一情况发生了巨大变化。现在，所有公司必须在成立后的5年内缴足认缴的注册资本金。对于创业者来说，这意味着从一开始就需要更为精准的财务规划和资金管理。

The new Company Law of China in 2023 has introduced several changes, and the first one to mention is the change in the time frame for the payment of registered capital.

For companies established before July 1, 2024, the government has provided a three-year grace period. This means that by July 1, 2027, the deadline for capital contribution can be adjusted to five years, which means the full capital must be paid by July 1, 2032. However, for companies registered after July 1, 2024, the registered capital must be fully paid within five years from the date of incorporation.

In the past, many companies, while committing to a certain capital contribution at the time of registration, could take a long time to actually pay it, which could be 10 years, 20 years, or even 100 years. However, with the 2023 amendment of the Company Law, this situation has undergone significant changes. Now, all companies must fully pay their subscribed registered capital within five years of their establishment. For entrepreneurs, this means that more precise financial planning and capital management are required from the very beginning.

2023年の中国新会社法には多くの変化があり、最初に紹介すべきなのは、会社の登録資本金の出資期限の変更です。

2024年7月1日以前に設立された企業に対して、政府は3年間の猶予期間を与えています。つまり、2027年7月1日までに出資期限を5年に調整すればよく、2032年7月1日までに出資金を全額払い込めば問題ありません。しかし、2024年7月1日以降に設立された企業については、設立日から5年以内に出資金を全額払い込む必要があります。

これまでは、多くの企業が登録時に出資額を約束しても、実際に資金が揃うまでの期間は長く、10年、20年、さらには100年というケースもありました。しかし、2023年の会社法改正により、この状況は大きく変わりました。今では、全ての会社が設立後5年以内に認められた登録資本金を全額払い込む必要があります。起業家にとって、これは最初からより正確な財務計画と資金管理が求められることを意味します。
